Terms of Service.

Terms of Service

Speakerbox Media LLC
Effective Date: April 1, 2025

This Terms of Service Agreement (the “Agreement”) is entered into by and between Speakerbox Media LLC, a Texas limited liability company (“Speakerbox Media,” “Company,” “we,” “our,” or “us”), and you, the user of the services (“Client,” “you,” or “your”). By accessing or using any of the services offered through the Speakerbox Media website or otherwise engaging with our services, you acknowledge that you have read, understood, and agree to be legally bound by the terms and conditions set forth herein. If you do not agree to these terms, you must not use the services.

1. Services Provided

Speakerbox Media provides productized media services, including but not limited to podcast recording, editing, production, marketing asset creation, strategic consulting, and distribution support. The specific services to be rendered to the Client shall be set forth in the “Service Plan”. The Service Plan shall identify the deliverables, timeline, responsibilities, and fees associated with the services. The parties may, from time to time, enter into additional or modified Service Plans, each of which shall be governed by and incorporated into this Agreement.
Client acknowledges and agrees that the services provided by Speakerbox Media are structured in a standardized and streamlined format in order to deliver consistent quality and efficiency. Customization is limited unless otherwise agreed upon in writing. Speakerbox Media reserves the right to modify, enhance, or discontinue any aspect of its services at any time without liability, provided such modifications do not materially reduce the services already purchased and paid for by the Client.

2. Client Responsibilities

Client agrees to cooperate fully with Speakerbox Media in all matters relating to the performance of services under this Agreement. Client shall provide all necessary and requested content, materials, assets, data, approvals, access credentials, availability for recording, and any other inputs required for the execution of services, in a timely and complete manner. Delays caused by the Client’s failure to provide required inputs or to respond within specified timeframes may result in delays in deliverables, additional charges, or suspension of services.
Client shall be solely responsible for ensuring that all content submitted to Speakerbox Media does not infringe upon any third-party rights and complies with all applicable laws, regulations, and content guidelines. Speakerbox Media shall have no liability for the content provided by Client or its subsequent publication or distribution.

3. Delivery Timelines

Unless otherwise stated in a written agreement, all assets, including audio files, visual assets (e.g., social graphics, thumbnails), and written assets (e.g., show notes, titles, summaries), will be delivered within five (5) business days of receipt of all required inputs from the Client.
If any inputs are missing or incomplete, the delivery timeline will not begin until all required materials are received. Speakerbox Media will make reasonable efforts to meet stated delivery timelines, but shall not be held responsible for delays caused by factors beyond its control, including Client inaction.
These timeframes are estimates and not guarantees. Speakerbox Media shall not be liable for delays caused by the Client’s untimely submissions, changes in scope, third-party service issues, or any circumstances outside of our reasonable control.

4. Revisions and Approvals

Client shall be entitled to up to two (2) rounds of revisions per deliverable. Revision requests must be submitted within three (3) business days of delivery. If no revision request is received within that period, the deliverable shall be considered approved and finalized, and the file will be marked complete in Speakerbox Media’s system.

Any subsequent requests for changes or reproduction of the same deliverable will be treated as a new order and subject to a new service fee at the then-current rate. Speakerbox Media is under no obligation to retain project files beyond the approval window unless expressly agreed upon in writing.

5. Fees and Payment Terms

Fees for services are specified in the applicable Service Plan and are due in full prior to the commencement of work, unless otherwise agreed in writing. Speakerbox Media may offer monthly or recurring service options, which will be billed in advance for each billing period.

All invoices are due upon receipt. A payment shall be considered late if not received within fifteen (15) calendar days of the invoice date. Late payments may be subject to interest charges at a rate of two percent (2%) per month, or the maximum amount permitted by law, whichever is lower. If payment is not received within fifteen (15) days of the due date, Speakerbox Media reserves the right to suspend or terminate services until the account is brought current. Any collection costs incurred shall be borne by the Client.

6. Ownership and Intellectual Property

Upon receipt of full and final payment for the applicable Service Plan, Speakerbox Media assigns to Client all rights, title, and interest in and to the final, approved deliverables created specifically for Client. This includes podcast audio, approved visual assets, and marketing copy produced as part of the agreed-upon services.

Speakerbox Media retains all rights, title, and interest in and to any and all tools, templates, methodologies, creative processes, workflows, source files, proprietary software, frameworks, and internal assets used in the performance of the services (“Speakerbox IP”). Nothing in this Agreement shall be construed as transferring ownership of any Speakerbox IP. Client is granted a limited, non-exclusive, non-transferable license to use such assets solely as required to utilize the final deliverables.

7. Confidentiality

Each party agrees to maintain in strict confidence all proprietary or confidential information disclosed by the other party, whether oral, written, or electronic, that a reasonable person would consider confidential under the circumstances. Confidential information includes, but is not limited to, business strategies, client lists, technical data, financial information, and trade secrets. Neither party shall disclose such confidential information to any third party without the prior written consent of the disclosing party, except as required by law.

8. Term and Termination

This Agreement shall remain in effect from the Effective Date and shall continue for the duration of the applicable Service Plan unless terminated earlier in accordance with this Section.

Either party may terminate this Agreement, or any Service Plan governed by this Agreement, for any reason upon providing at least fourteen (14) days’ written notice to the other party. Upon termination, Speakerbox Media shall deliver all completed work to date, and Client shall pay any outstanding fees for work performed. No refunds shall be issued for completed or in-progress work.

Speakerbox Media may terminate this Agreement immediately upon notice if Client breaches any material term and fails to cure such breach within ten (10) business days of notice. Speakerbox Media also reserves the right to terminate services if the Client engages in behavior that is abusive, unlawful, or inconsistent with the spirit of collaboration.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Speakerbox Media shall not be liable to Client for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, data loss, or business interruption, arising out of or relating to this Agreement or the services provided hereunder.

In no event shall Speakerbox Media’s total liability for any claim arising out of this Agreement exceed the amount paid by Client for the services that gave rise to the claim during the thirty (30) days prior to the event in question. Client acknowledges that this limitation of liability is an essential element of the Agreement and that, absent such limitation, the fees charged would be substantially higher.

10. Force Majeure

Neither party shall be liable for any delay or failure to perform any of its obligations under this Agreement due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, labor disputes, internet outages, war, terrorism, or government restrictions. Performance shall resume as soon as reasonably practicable following the cessation of such force majeure event.

11. General Rescheduling & Cancellations

We require a minimum of 48 hours’ notice for any changes or cancellations to your studio booking.

  • Late Requests: Any modifications made with less than 48 hours’ notice are subject to a rescheduling or cancellation fee. The specific fee amount is determined at the studio’s discretion based on the timing of the request and the impact on the studio schedule.
  • Subject to Availability: All rescheduling requests—regardless of notice period—are subject to the studio’s current availability. We do not guarantee that your preferred new date or time will be available, and the original booking remains in effect until a new time is officially confirmed.

12. Inclement Weather Exception

Exceptions to the 48-hour notice requirement are made for Inclement Weather (e.g., severe storms, ice, or official travel advisories).

  • Safety First: If hazardous conditions make traveling to the studio or on-site unsafe, you may reschedule your session without incurring a fee.
  • Rescheduling Process: While the rescheduling or cancellation fee is waived for weather, the new date remains subject to studio availability. Any payments made will be applied as a credit toward the rescheduled session.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by, and construed in accordance with, the laws of the State of Texas without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Harris County, Texas, and the parties hereby consent to the personal jurisdiction of such courts.

The parties agree to attempt to resolve any disputes in good faith through informal negotiations before initiating formal legal proceedings.

14. Modifications to Terms

Speakerbox Media reserves the right to update or modify these Terms of Service at any time, with or without prior notice. Such changes shall be effective immediately upon being posted to the Speakerbox Media website. Client’s continued use of the services following the notice of any changes shall constitute acceptance of those changes. It is the Client’s responsibility to review these Terms when notified.

15. Entire Agreement

This Agreement, including any Service Plan or addendum incorporated herein by reference, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, proposals, understandings, or communications, whether oral or written. No waiver or amendment of any provision of this Agreement shall be effective unless in writing and signed by both parties.
